<Section title="From Monday's handover to Thursday's committee, step by step" subtitle="Illustrative example: Plover Sensors, a fictional maker of industrial sensors. The deal team hands over the deal on Monday evening, for the committee on Thursday at 09:00.">
  1. **The objective.** "Prepare the due diligence memo on Plover Sensors for Thursday's committee: commercial,
financial, legal and reputational findings, each with its source."
  2. **The press.** One branch per topic: litigation, management changes, customer wins and losses, and regulator actions.
     Every item comes back dated.
  3. **The data room.** One branch per document family: customer contracts, financing, accounts, employment and
intellectual property. Where a family holds many documents, its branch splits again, one branch per document.
  4. **Key terms, extracted on the way.** Inside the contract branches, each contract's term, renewal date,
change-of-control clause, exclusivity and revenue land in one table. Any unclear term is marked to confirm. The
     table then feeds the findings.
  5. **Calculations and cross-check.** Code calculates customer concentration and covenant headroom from the accounts. A
review branch compares the management presentation with the accounts and the press.
  6. **One memo.** The branches converge into one memo, ready for the deal team to check before Thursday.

      accDescr {
The deal team hands over one objective. One Task splits it into press
branches, one per topic, and data room branches, one per document family.
The customer contracts branch splits again, one branch per contract, and
their key terms land in one table. Code calculates from that table, the
financing documents and the accounts. A review branch cross-checks the
findings, and the Task returns one memo with every finding sourced. The
        deal team decides.

## Due diligence questions

### What if two press articles disagree about the target

The memo shows both, each with its date and source, and lists the gap among the points for your decision. [See how
Web research in Tools cites its sources](https://duale.ai/en/product/tools.md), or read [Sources and
factuality](https://duale.ai/en/docs/web/sources-and-factuality.md).

### Can a carve-out and a minority stake follow different due diligence checklists

Yes. Each memo follows the checklist you choose for that kind of deal. [See how Libraries keep your reference
files](https://duale.ai/en/product/libraries.md).

### Can we start before the data room opens

Yes. A first memo can draw on the press and public records alone. [See how Web research works in
Tools](https://duale.ai/en/product/tools.md).

### Can the deal team follow up on one finding without starting over

Yes. A follow-up, such as the detail behind the labour claim, starts from the memo's own work. [See how a new Task
continues from earlier work](https://duale.ai/en/product.md), then read [what a follow-up
inherits](https://duale.ai/en/docs/agent-harness/context-continuity.md#what-a-continuation-task-inherits).

### Can we keep the data room away from other teams

Yes. Other teams' agents never reach the deal's data room. [See how each agent gets only the access you
grant](https://duale.ai/en/product/identity-and-access.md).
